Terms of Purchase

These Gardi Terms of Purchase (“Terms of Purchase”) govern any order you place for Gardi products and services, including camera hardware, subscriptions, and related offerings (collectively, the “Products”).

By placing an order with Gardi, you agree to these Terms of Purchase, as well as our Terms of Service, End User License Agreement (EULA), and Privacy Policy (together, the “Gardi Agreements”).

If you do not agree, please do not place an order.

1. Who we Are

"Gardi", "we", "us", and "our" refer to Gardi Technologies, Inc.
We resell and integrate a video-telematics solution powered by third-party technology (including Lytx/Surfsight) and provide it to you under the Gardi brand
"You" or "customer" means the individual purchasing the Products for personal or household use.

2. Orders & Acceptance

  • Your order is an offer to purchase Products from Gardi.
  • We may accept or reject any order at our discretion (e.g., due to availability, eligibility, suspected fraud, or pricing errors).
  • An order is considered accepted when we:
    • charge your payment method
    • send an order confirmation email

We may cancel an order (with a refund of any amounts paid) if we cannot fulfill it or if we believe there is misuse, fraud, or a violation of the Gardi Agreements.

3. Pricing, Taxes & Fees

  • Prices are shown at checkout and are subject to change until your order is placed.
  • Prices do not include applicable sales tax, duties, or other governmental fees unless explicitly stated. These will be added at checkout where required by law.
  • We may charge additional fees for shipping, activation, installation, or other services if disclosed at checkout.

If we discover a pricing error after you place an order, we may contact you for confirmation at the corrected price or cancel the order and refund any payment.

4. Payment Terms

  • You authorize Gardi (or its payment processor) to charge your selected payment method for the total amount due, including Product price, taxes, and any applicable fees.
  • Payment must be made at the time of purchase.
  • If the charge is declined or reversed, we may cancel your order or suspend your access to the Solution until payment is successfully completed.

You represent and warrant that you are authorized to use the payment method provided.

5. Subscriptions & Renewals

Certain Products include a recurring subscription (e.g., monthly or annual access to the Gardi Solution and cloud services)

  • Subscription details (term, price, renewal period) will be shown at checkout.
  • Unless otherwise stated, subscriptions automatically renew at the end of each billing period at the then-current rate, until you cancel.
  • You may cancel future renewals at any time via your account or by contacting Gardi support; cancellation will be effective at the end of the current billing period and you will not be refunded for the then-current period unless required by law.

If you do not maintain an active subscription, some or all Solution features (including access to video and historical data) may be limited or unavailable.

6. Hardware, Deposits & Non-Return Fees

Gardi may provide in-vehicle camera Devices as part of your purchase or subscription.

  • Ownership: In some cases, Devices are sold to you; in others, they are provided on a rental, loan, or deposit basis. The applicable model will be disclosed at checkout or in your order confirmation.
  • Deposits (if applicable): If a refundable hardware deposit is required, the amount and terms will be disclosed at checkout. Your deposit will be refunded in accordance with Section 8 (Returns & Refunds) after Gardi receives the Device in acceptable condition, subject to inspection.
  • Non-Return or Damage Fees: If a Device is not returned when required (for example, after cancellation of a rental/subscription, or during a beta program) or is returned damaged beyond normal wear and tear, Gardi may charge you a non-return fee or damage fee in the amount disclosed at checkout or in your program terms.

You are responsible for safeguarding the Device and using it according to our installation and safety instructions.

7. Shipping, Delivery & Risk of Loss

Gardi may provide in-vehicle camera Devices as part of your purchase or subscription.

  • We will ship Devices to the address you provide at checkout. You are responsible for providing a correct and complete address.
  • Risk of loss for hardware passes to you upon delivery by the carrier.
  • Delivery dates are estimates only and are not guaranteed. We are not liable for delays caused by carriers, weather, or events beyond our reasonable control.

If a shipment is lost or damaged in transit, please contact us promptly so we can work with the carrier and determine appropriate next steps.

8. Returns, Refunds & Cancellations

Our return and refund practices may vary based on promotional terms, beta programs, or regional requirements. Unless otherwise stated in a specific offer:

  • You may request a return of the Device within 30 days of delivery (e.g., 30 days) by contacting Gardi support.
  • Devices must be returned in their original or reasonably similar condition, with all included components, subject to normal wear and tear.
  • Once we receive and inspect the Device:
    • We will process any applicable refund to your original payment method, less any non-refundable fees disclosed at purchase (e.g. shipping, activation, or installation).
    • If a deposit was collected, it will be refunded in whole or in part based on the condition of the Device

Subscription fees already incurred are generally non-refundable, except where required by law or explicitly stated in a promotion.

9. Installation & Self-Install Disclaimer

Gardi offers guidance and may offer professional installation services for a fee. If you choose self-installation, you:

  • Accept all responsibility for the installation process and any resulting damage to your vehicle or equipment.
  • Agree to follow Gardi's installation and safety instructions and to ensure:
    • The Device does not obstruct the driver's view.
    • Cabling is secured and does not interfere with pedals or vehicle operation.
    • The Device and cables do not interfere with airbag deployment or any safety system.

Gardi is not responsible for any damage, safety issues, or legal consequences arising from improper installation or use.

10. Use of the Solution & Related Terms

The purchase and use of Gardi Products are also subject to:

  • Gardi Terms of Service (governing access to and use of the software/SaaS Solution)
  • End User License Agreement (EULA) (governing your license to use the software)
  • Gardi Privacy Policy (governing how we collect, use, and protect personal data)

Those documents are incorporated by reference into these Terms of Purchase. In the event of a conflict between the Terms of Purchase and the Terms of Service/EULA regarding financial or transaction-related terms, these Terms of Purchase will generally control.

11. Beta, Trial & Promotional Programs

From time to time, Gardi may offer beta programs, early access, or promotional pricing.

  • Such programs may have additional terms, which will be presented at sign-up.
  • Beta products and features may be pre-release, may change without notice, and may be offered “as is” with reduced or different support.
  • Gardi may modify or discontinue a beta or trial at any time.

Your participation in any beta or trial is voluntary and subject to these Terms of Purchase plus any additional program terms.

12. Changes to Prices or Terms

Gardi may modify Product pricing, subscription rates, or these Terms of Purchase:

  • Changes to one-time purchase pricing apply to future purchases only.
  • Changes to subscription pricing will be communicated in advance and will apply at the start of the next billing period after notice.
  • Updated Terms of Purchase will be posted on our website with a revised “Last Updated” date. Your continued purchases or use of the Products after changes become effective constitutes acceptance of the updated terms.

13. Governing Law & Disputes

These Terms of Purchase are governed by the laws of the State of California without regard to its conflict-of-laws principles.

Any disputes arising from or relating to these Terms of Purchase or your purchase of Gardi Products will be resolved in the state or federal courts located in San Diego, California unless otherwise required by law. You consent to the jurisdiction of those courts
